1. Acceptance of Terms

By accessing or using the DocuGuide AI platform ("Service") operated by Zee Solution LLC ("we," "us," or "our") at docuguide.zeesolution.net and related subdomains, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

DocuGuide AI is a cloud-hosted document-reading chatbot platform that allows businesses ("Subscribers") to upload manuals, PDFs, DOCX files, and text documents, and embed an AI-powered Q&A widget on their websites. The Service includes:

• A web-based dashboard for document management, widget configuration, and analytics
• Automated document processing (text extraction, chunking, and vector indexing) for retrieval-augmented answers
• An embeddable chat widget that answers end-user questions using the content of your uploaded documents
• Hosting, maintenance, and delivery of the chatbot service

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use this Service. By signing up, you represent that you meet these requirements.

4. Account Registration

• You must provide a valid email address and create a secure password.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account, including document uploads and widget usage.
• You must notify us immediately of any unauthorized use of your account.

5. Subscription Plans and Billing

• Free Trial: New accounts receive a 14-day free trial with limited usage (1 document, 50 MB storage, 50 questions). No credit card is required to start.
• Paid Plans: After the trial, you may subscribe to Starter ($29/mo, 3 documents, 200 MB, 500 questions/mo), Professional ($79/mo, 10 documents, 1 GB, 5,000 questions/mo), or Enterprise ($199/mo, unlimited documents, storage, and questions). Prices are subject to change with 30 days' notice.
• Billing: Subscriptions are billed monthly or annually via Stripe. By subscribing, you authorize recurring charges to your payment method.
• Cancellation: You may cancel your subscription at any time through the dashboard billing page or Stripe Customer Portal. Access continues until the end of the current billing period. No partial refunds are issued for unused time within a billing period.
• Refunds: We offer a full refund within 7 days of your first paid subscription if you are not satisfied. After 7 days, no refunds are provided.
• Usage Limits: If you exceed your plan's monthly question limit, the widget will display a friendly "monthly limit reached" message until the next billing cycle or until you upgrade.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Upload documents you do not have the legal right to distribute, store, or process
• Upload content that is illegal, infringing, defamatory, harmful, or designed to exploit or mislead end users
• Attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure
• Attempt to reverse engineer, scrape, or bypass rate limits or plan quotas
• Interfere with or disrupt the Service for other users
• Use the widget to collect personal data from end users without proper consent and disclosure
• Resell or redistribute the Service without our written permission
• Upload malicious files, executable code, or content designed to exploit document parsers or the AI pipeline

7. User Content and Data

• Your Content: You retain full ownership of all documents, configurations, branding settings, and content you upload to the Service ("Your Content"). You grant us a limited, non-exclusive license to host, store, process, index, and display Your Content solely to operate the Service and answer questions submitted through your widget.
• No AI Training: We do not use Your Content, end-user questions, or generated answers to train any AI model, either our own or any third party's.
• Responsibility: You are solely responsible for the accuracy, legality, and appropriateness of Your Content, including any personal data contained within your documents.
• Backup: While we maintain operational backups of the platform, we recommend you keep your own copies of important source documents. We are not liable for data loss.

8. End-User Data Processing

When your website visitors ("End Users") interact with your embedded DocuGuide AI widget:

• We process and store the questions they submit and the answers returned, together with feedback (thumbs up / thumbs down), so that you can review conversations and analytics in your dashboard.
• We do not ask End Users for names, email addresses, or phone numbers through the standard widget. If you configure additional fields, you are responsible for obtaining appropriate consent.
• You are responsible for disclosing the use of the DocuGuide AI widget on your website in your own privacy policy, including the fact that questions and answers are stored.
• You are the data controller for any personal data collected on your website; we act as a data processor on your behalf for widget interactions.

9. Intellectual Property

• The Service, including its software, design, logos, documentation, prompts, and underlying processing pipelines, is the property of Zee Solution LLC and is protected by copyright and intellectual property laws.
• Your subscription grants you a non-exclusive, non-transferable, revocable license to use the Service for your business purposes.
• You may not copy, modify, reverse engineer, or create derivative works based on the Service.
• Third-party AI, storage, and payment providers used to deliver the Service retain their own intellectual property rights.

10. Service Availability

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted service.
• We may perform scheduled maintenance with reasonable advance notice.
• We are not liable for downtime caused by third-party services, including hosting providers, payment processors, AI providers, document storage providers, or email providers.
• AI-generated answers are provided on a best-effort basis and may occasionally be incomplete or inaccurate. You are responsible for reviewing critical answers before relying on them.

11. Limitation of Liability

To the maximum extent permitted by law, Zee Solution LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service, or from reliance on AI-generated answers.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Zee Solution LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, the content of documents you upload, your violation of these Terms, or your violation of any third-party rights, including copyright, privacy, and intellectual property rights.

13. Termination

• We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users.
• Upon termination, your access to the Service will cease, embedded widgets will stop functioning, and your documents and conversation history will be deleted within 30 days.
• You may request deletion of your account and data at any time from the dashboard or by contacting us at contact@zeesolution.net.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the dashboard at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in San Mateo County, California, in accordance with the rules of the American Arbitration Association.
